On 19th November 2025, Adobe announced they’re acquiring SEMrush in a $1.9 billion all-cash deal. That’s big news for anyone working in digital marketing and SEO.
The Deal
Adobe will pay $12.00 per share for SEMrush – a 78% premium over its previous closing price. The transaction has been approved by both boards and is expected to close in the first half of 2026, subject to regulatory approval and shareholder votes. Adobe has already secured commitments from shareholders representing over 75% of SEMrush’s voting power.
Why Adobe Wants SEMrush
Organic search is changing rapidly right now – probably more so than at any time in our experience of SEO (Since 1998). Generative AI platforms like ChatGPT and Google’s Gemini are fundamentally altering how consumers search for information and discover brands. Adobe Analytics data shows that traffic from generative AI sources to US retail sites increased by 1,200% year-over-year in October.
Traditional SEO still matters enormously, but we now need to think about Generative Engine Optimization (GEO) too. SEMrush brings over a decade of SEO expertise plus GEO capabilities that help brands stay visible when AI models are answering user queries.
What SEMrush Brings
SEMrush has evolved from an SEO tool into a comprehensive brand visibility platform. In its most recent quarter, they drove 33% year-over-year Annual Recurring Revenue growth in their enterprise customer segment, working with major clients including Amazon, JPMorganChase, and TikTok.
They’ve also been actively acquiring companies, including Backlinko, Traffic Think Tank, and Third Door Media (which publishes Search Engine Land).
The Adobe Portfolio
Adobe already has Adobe Experience Manager (AEM), Adobe Analytics, and the newly introduced Adobe Brand Concierge. Adding SEMrush’s GEO and SEO capabilities creates a comprehensive solution for marketers navigating multi-channel visibility.
As Anil Chakravarthy, president of Adobe’s Digital Experience Business, said:
“Brand visibility is being reshaped by generative AI, and brands that don’t seize this new opportunity risk losing relevance and revenue.”
What to Watch
A few things we’ll be monitoring:
- Integration: Will Adobe quickly absorb SEMrush into Experience Cloud, or keep it relatively independent?
- Pricing: Adobe’s enterprise software pricing is comprehensive. Will SEMrush remain competitive for smaller agencies and freelancers?
- Regulatory approval: Adobe’s previous Figma acquisition was blocked. Will this one sail through?
- Product roadmap: Will Adobe enhance SEMrush’s traditional SEO strengths or push hard into GEO?
- Media properties: What happens to Search Engine Land and other Third Door Media publications?
GEO is Here to Stay
This acquisition signals that Generative Engine Optimization has moved from experimental to essential. When Adobe spends $1.9 billion on GEO capabilities, that’s a clear market signal.
Traditional SEO skills remain foundational, but we need to evolve our thinking to encompass how AI systems discover, evaluate, and present brand information.
What This Means for Businesses
If you’re working in SEO or digital marketing, this acquisition reinforces a simple message: adapt or become irrelevant.
Core principles remain crucial – creating helpful content, building topical authority, ensuring technical excellence, and earning quality backlinks. But you need to add an understanding of how generative AI systems work and how your brand can remain visible in AI-generated responses.
For businesses using SEMrush, don’t panic. Keep using the tools that work, stay informed about integration plans, and be prepared to adapt.
The Bottom Line
Adobe’s acquisition of SEMrush is a bold bet on the future of search and brand visibility. It brings together Adobe’s creative and marketing technology with SEMrush’s search optimization expertise.
The future of search is a hybrid world where traditional SEO and generative AI optimization work hand in hand. This $1.9 billion deal shows Adobe is taking that shift seriously.
